Payments & Refunds

Pricing & Currency

All fees, service charges, and prices are quoted in Indian Rupees (INR) unless explicitly stated otherwise in a proforma invoice or written agreement. Prices are exclusive of GST and other applicable levies unless specifically mentioned.

Payment Terms

• Full advance payment or a confirmed partial advance may be required prior to order processing, as specified in your proforma invoice.
• Accepted modes of payment include NEFT, RTGS, IMPS, domestic/international wire transfer, and such other methods as notified by the Company.
• All bank charges, currency conversion fees, and transaction costs are solely borne by the User.
• Non-payment or delayed payment may result in order cancellation, suspension of Services, and recovery action under Applicable Law.

Refund Processing

Where a refund is determined to be applicable (subject to Section 5 below), it will be processed within 15–30 business days from the date of approval, after deduction of applicable administrative, banking, processing, and handling charges. Refunds are issued at the sole discretion of Genesis Biopharma.

Non-Refundable Orders

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY. ONCE THE FOLLOWING ORDERS OR PAYMENTS ARE MADE, THEY ARE STRICTLY NON-REFUNDABLE UNDER ANY CIRCUMSTANCES.

The following are strictly non-refundable:

• Orders where Goods have been dispatched, shipped, or handed over to a carrier.
• Custom-sourced, specially procured, or made-to-order Goods tailored to the User's specific requirements.
• Service fees for documentation once preparation has commenced.
• Payments for regulatory filings or compliance services that have been initiated.
• Orders cancelled after the Company has entered into a purchase commitment, supply contract, or vendor agreement on the User's behalf.
• Advance payments for booking or logistics slot confirmation once confirmed.
• Any order where losses or delays were caused by the User providing incorrect, incomplete, or fraudulent documentation.
• Any charges paid toward inspection, quality certification, testing, or third-party verification services.

The Company shall have no obligation to provide any refund, credit, or compensation for losses arising from fluctuations in foreign exchange rates, product prices, freight rates, or duty rates between the date of order and date of delivery.

Disclaimer of Warranties

THE WEBSITE AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. GENESIS BIOPHARMA EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, AND NON-INFRINGEMENT.

• We do not warrant that the Website will be uninterrupted, error-free, or free from viruses or malicious components.
• Product data, pricing, shipping estimates, and market information on this Website are indicative only and do not constitute professional legal, financial, or advisory services.

Limitation of Liability & No Liability Clauses

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE INDIAN LAW, GENESIS BIOPHARMA SHALL HAVE NO LIABILITY WHATSOEVER FOR:

• Any loss arising from the User's failure to comply with applicable regulations.
• Failures of third-party service providers including shipping partners, banks, or insurers.
• Fluctuations in foreign exchange rates, product prices, duty structures, or applicable tax rates between order placement and execution.
• Any loss or damage arising from delays caused by inspection or regulatory clearance processes.

IN ANY EVENT, THE TOTAL AGGREGATE LIABILITY OF GENESIS BIOPHARMA FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY THE USER FOR THE SPECIFIC ORDER OR SERVICE GIVING RISE TO SUCH CLAIM DURING THE THREE (3) MONTHS PRECEDING THE CLAIM.

Compliance & User Obligations

You are solely responsible for ensuring that all your activities comply fully with Applicable Law, including obtaining all required licences, permits, and government approvals prior to engaging our Services.

• You warrant that the Goods you intend to trade are not subject to sanctions, embargoes, or prohibitions under Indian law or the laws of the destination country.
• You agree not to use the Services of Genesis Biopharma for any unlawful, fraudulent, or prohibited activity.
• Any penalties, fines, or legal consequences arising from your non-compliance with applicable laws shall be solely your responsibility.

Indemnification

You agree to indemnify, defend, and hold harmless Genesis Biopharma, its directors, officers, employees, agents, and partners from and against all claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Website or Services; (b) your violation of these Terms; (c) your violation of any Applicable Law or third-party rights; or (d) any dispute related to your transactions or business dealings.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Maharashtra, India.

The parties shall first endeavour to resolve any dispute amicably through good-faith negotiations within 30 days of written notice. If unresolved, disputes shall be referred to binding arbitration before a sole arbitrator mutually agreed upon by both parties, conducted in Maharashtra under the Arbitration and Conciliation Act, 1996. The language of arbitration shall be English.

Amendments to These Terms

Genesis Biopharma reserves the right to revise, update, or replace these Terms at any time at its sole discretion. Updated Terms will be posted on this Website with a revised effective date. Your continued use of the Website after any such changes constitutes your acceptance of the new Terms. We encourage you to review this page periodically.
